Terms and Conditions

1. Definitions
"Consultant" refers to AuditFlow.
"Client" refers to the individual or business engaging the Consultant's services.
"Services" refers to Google Ads and Microsoft Ads consultancy, audit, account management, and related marketing services the Consultant provides.
2. Engagement
The Client agrees to engage the Consultant to provide Google Ads consultancy services as outlined in the agreed proposal or scope of work.
Services will commence upon receipt of the payment as specified in the agreement.
3. Fees and Payment
All fees are inclusive of GST unless stated otherwise.
GST is 10% of the total invoiced amount.
All fees are in Australian Dollars (AUD).
All fees must be paid in full at the time of booking the service and in advance of any work being undertaken.
Fees can be paid via PayPal or Stripe.
4. Responsibilities
Client's Responsibilities:
Provide the Consultant access to all necessary accounts and platforms (e.g., Google Ads, Google Analytics).
Supply accurate and timely information, including business goals and target audience details.
Consultant's Responsibilities:
Provide professional consultancy services.
Maintain the confidentiality and security of Client data and account information.
5. Confidentiality
Both parties agree to maintain confidentiality of any proprietary or sensitive information shared during the engagement.
The Client agrees that data shared during the consultation period may be used by the Consultant for marketing and educational purposes, provided that all metadata is anonymized and remains confidential to protect the Client's privacy.
6. Performance Disclaimer
The Consultant does not guarantee specific results, such as increased sales, revenue, leads, or website traffic, as performance is subject to market conditions, competition, and other external factors.
The Consultant's recommendations and reports are intended to serve as a guide for the Client's marketing initiatives and should not be interpreted as directives.
The advice and consultation provided are based on the Consultant's years of experience, the data supplied by the Client, industry benchmarks, and Google Ads best practices. However, it is not exhaustive or all-encompassing.
8. Terms and Termination
This agreement is effective for the duration of the agreed-upon service.
Neither the Client nor the Consultant is bound by this Agreement after the conclusion of the initial agreed-upon service.
9. Intellectual Property
All confidential materials, Google Ads account settings, and strategies developed by the Consultant are the Client’s property, with the Client retaining full ownership and authority over their intellectual property.
10. Independence and Scope of Services
The Consultant operates as an independent entity and is not affiliated with or influenced by any other agencies or external organizations.
The Consultant provides Google Ads consultancy services exclusively and does not offer ongoing monthly Google Ads management services.
The Consultant affirms that there are no external interests or partnerships that could compromise the objectivity or quality of the services provided.
11. Bookings, Cancellations, and Rescheduling
All bookings are final, and the Consultant reserves the right to enforce a no-refund policy for missed appointments where the Client fails to attend.
Rescheduling or refunds will only be considered if the Client provides at least 48 hours’ notice by email (to peter@auditflow.com) or phone call (0402866783) of cancellation before the scheduled appointment.
Rescheduling is subject to the Consultant’s availability and discretion, and there is no guarantee that alternative appointment slots will be provided.
12. Limitation of Liability
The Consultant is not liable for any direct, indirect, incidental, or consequential damages resulting from the use or inability to use the services.
13. Governing Law
This agreement is governed by the laws of Australia.
14. Amendments
These terms and conditions may be amended by the Consultant at any time.
15. Acceptance
By engaging the Consultant, the Client agrees to these Terms and Conditions.
